This agreement is entered into by you (hereinafter referred to as the "user") and UKey LIMITED (Hong Kong) (hereinafter referred to as "UKey"), the operating entity of the UKey official platform (including web, mobile and applications, etc., hereinafter referred to as the "platform"), regarding UKey cold wallet and related services, and is legally binding on both the user and UKey.
UKey reminds users to carefully read and fully understand the entire content of this agreement, especially the terms that reduce or limit the platform's liability and limit or exclude user rights.
If the user does not agree with the contents of this Agreement, or does not acknowledge that the Platform has the right to unilaterally amend this Agreement at any time, he should immediately stop using and accessing the Platform.
In addition to this agreement, users using cold wallet services should also abide by other agreements and rules announced by the platform, including but not limited to the license agreement, privacy policy, after-sales policy, legal statement, and various agreements, rules, announcements, statements, instructions or guidelines that have been published on the platform or may be published in the future (including their revisions from time to time, hereinafter collectively referred to as the "Rules").
Article 1 Interpretation
1.1 "This Agreement": refers to this "User Service Agreement" and its revised versions from time to time.
1.2 "Cold wallet": refers to hardware products that use hierarchical deterministic (HD) technology to achieve secure management of digital assets.
1.3 "Hot wallet": refers to digital asset management tools developed based on blockchain, as well as auxiliary tools developed to facilitate users to use blockchain.
1.4 "Public key": generated by one-way derivation of the private key based on cryptographic principles, used to generate a blockchain wallet address; the wallet address is the public payment address.
1.5 "Private Key": It consists of 256 random characters and is the core element for users to hold and use digital assets.
1.6 "Mnemonic words": Complying with industry standards such as blockchain BIP39, 12 (or 15/18/21/24) ordered words generated by a random algorithm are an easy-to-backup representation of the private key.
1.7 "Payment Password": The password that the user should set when creating a wallet, which is used together with the seed password to generate the currency private key; this password cannot be changed.
1.8 "Security Password": The password that the user should set when creating a wallet to protect the private key; it is not stored on the user's mobile device or the UKey platform server.
Article 2 Platform Services
2.1 Users can choose different language versions of the platform.
2.2 The platform is a digital asset security service platform, provided by UKey to users; the service mainly includes digital asset security services, user services and other auxiliary content, which is subject to the actual provision of the platform.
2.3 Users should bring their own networking equipment to access or use the service, and bear their own network access fees, traffic fees and other related expenses.
2.4 During the performance of the agreement, UKey may modify this agreement according to the circumstances.
2.5 The user agrees that UKey’s notices and other agreements, rules, notices or service-related notices may be delivered by electronic means such as announcements, site letters, emails, SMS, etc. or by physical means such as mail; it shall be deemed delivered on the day it is sent (if mailed, it shall be deemed delivered on the third natural day after the user submits the address on the platform).
2.6 In order to reduce misoperation and security risks, users without basic knowledge of blockchain should avoid using this platform; UKey reserves the right to refuse to provide some or all functions to such users.
2.7 In order to implement the requirements of the "Notice on Further Preventing and Dealing with Speculation Risks of Virtual Currency Transactions" (hereinafter referred to as the "Notice") issued by ten ministries and commissions of China (hereinafter referred to as the "Notice"), UKey has terminated some functions for users in China, including **third-party platforms (as defined below)** financial applications that may be related to transactions and may not meet the requirements of the "Notice" and other regulations, and only retain the basic functions of the wallet.
2.8 The user understands that UKey may modify, suspend or terminate platform services under the following circumstances. The effective date shall be subject to announcement. The user agrees that UKey does not need to bear any liability for breach of contract, compensation or compensation:
Operations are interrupted due to technical reasons such as equipment and blockchain system maintenance, upgrades, failures, and communication interruptions;
Force majeure, etc. makes it impossible to provide services, or UKey reasonably believes that continuing to provide services is risky;
There are major adverse changes in applicable laws or policies, or in accordance with the laws, regulations, rules, orders and other requirements of the country/region where the user belongs;
To safeguard the legitimate rights and interests of the platform or users;
Other circumstances beyond the control of the platform or that are reasonably unforeseen.
Article 3 Service Content
3.1 Wallet creation
This agreement will pop up when the user creates a wallet for the first time; by agreeing to create it, the user accepts the entire content of this agreement and is bound by it.
Users promise to create wallets and use services for legitimate purposes, and not to use the platform or services as a medium to carry out illegal intentions; ensure that the digital assets in the associated blockchain account come from legal sources; and abide by all rules (including announcements, process descriptions, risk warnings, etc.) released/updated by the platform from time to time.
3.2 Platform user services
(1) The platform provides users with:
a Digital asset security services;
b Digital asset market information; provided that it complies with the laws of the user’s location, some transaction information is provided;
c User services;
d. Technical and management services to ensure platform operation;
e Other services announced on the platform.
Adhering to the decentralized nature of blockchain and ensuring asset security, the platform provides decentralized services, which are different from banking financial institutions.
Users should properly keep the device containing their wallet and back up their wallet information, security password, mnemonic phrase, and private key.
3.3 Hardware products such as cold wallets
The product information displayed on the platform may change at any time, and UKey may adjust text, pictures, etc. in real time.
The price of the product is clearly marked, but the price may change at any time. The transaction price shall be based on the price when the user submits the order and the settlement is confirmed by UKey.
When placing an order, users should carefully check the product name, price, quantity, model, specification, size, address, telephone number, consignee, etc.
The successful submission of the order is only the data generated by the system based on the filled-in content. It is an invitation/request for a transaction offer and does not constitute a commitment by UKey.
UKey or its authorized seller will deliver to the designated address; the time shown on the page is a reference time (estimated based on inventory, processing and delivery processes), and UKey or its authorized parties are not responsible for the difference between the actual delivery time and the reference time.
Article 4 Limitation of Platform Liability
4.1 UKey does not make any guarantees regarding the following matters:
Services must meet user needs;
The Service must be uninterrupted, timely or error-free;
The products/services/information obtained through the service must meet expectations;
Platform information, programs, texts, data, etc. must be completely safe and free of interference from malicious programs such as viruses, Trojans, etc.;
Although the calculation of trading results has been announced, there is no guarantee that it will be absolutely error-free or uninterrupted.
4.2 Users know and agree that UKey will not be held responsible for the following matters under any circumstances:
Loss of income; loss of trading profits or contractual benefits;
Losses caused by service interruption, suspension, or termination;
Expected loss of profits that can save transaction costs;
Losses caused by information transmission problems;
Losses caused by data loss or corruption;
Indirect, special and incidental losses caused by breach of contract (whether foreseeable or not, whether or not notified in advance);
Loss of assets due to lost equipment, failure to back up information, forgetting security passwords/private keys/mnemonic phrases, etc.;
Loss of assets due to self-disclosure of information, or lending/transferring/authorizing others to use devices or wallets, or downloading applications through unofficial channels or using them in an unsafe manner;
Loss of assets due to incorrect operations (including incorrect address entry, node selection problems, etc.);
Loss of assets due to lack of blockchain knowledge and misoperation;
Due to system lag, chain instability, etc., the on-chain record display deviation is caused.
4.3 The user knows and agrees that UKey has the right to refuse to compensate for all or part of the losses under any of the following circumstances:
There are reasonable grounds to believe that the user’s behavior is illegal or immoral;
Users mistakenly believe that the loss is caused by the platform;
Other losses not caused by platform reasons.
4.4 Third-party services are provided by third parties, and the third party is responsible for their service quality and content.
4.5 Due to the standardized characteristics of the service, it is difficult for UKey to reasonably foresee all losses caused by the breach of contract, and UKey will not charge additional fees for users to make profits from using the service.
4.6 UKey's guarantees and commitments in this Agreement are its only guarantees and representations for providing services in accordance with the contract ("Agreement Guarantees"), and they only bind the platform itself and are not binding on third parties.
4.7 If the system crashes or cannot be used normally, transactions are not completed, or information records are lost due to force majeure or other uncontrollable reasons, UKey will make reasonable efforts to assist in the aftermath; users agree to bear risks and losses by themselves, and UKey does not need to compensate or bear other responsibilities.
Article 5 User Statement and Commitment
5.1 The user declares that he has full civil rights and capacity, can independently bear legal responsibilities, and will not use services for illegal purposes or in illegal ways; he promises to abide by the laws, regulations and international Internet practices of the country where he is located, and abide by relevant network protocols, rules and procedures.
If a user violates the above conditions, UKey may decide at its sole discretion to refuse to provide services at any time, and will not assume joint and several liability for supervision or other due to illegal use by users.
5.2 The user understands that third-party services are subject to the user’s own evaluation and selection; UKey is not responsible for the selection and use results, and the user shall be responsible for any related losses.
5.3 Users are responsible for all activities under the registered account (including information disclosure, publishing information, clicking to agree to the agreement, uploading files, renewing the agreement, accepting third-party agreements, etc.).
5.4 The user agrees that UKey may place commercial advertisements or other commercial information (including page advertisements) in various ways during the provision of services, and agrees to receive promotional and other information through emails and other methods.
5.5 User agrees: If there is a dispute with a service provider or other third party due to third-party services, the platform shall not be required to provide information through non-judicial/administrative channels.
5.6 Users must comply with laws and regulations when using services, and promise to:
Speech that incites resistance, undermines the implementation of the constitution and laws, subverts political power, secession, ethnic hatred and discrimination, etc. is not allowed;
Cross-border data transmission must comply with Chinese and relevant national regulations;
You are not allowed to use the platform to engage in illegal activities such as money laundering, stealing business secrets or personal information;
Do not interfere with the operation of the platform or invade the platform and national computer information systems;
Do not spread illegal, criminal, harassing, insulting, intimidating, obscene and other harmful information;
Do not publish information or remarks that harm public interests and national security;
You shall not instigate others to commit acts prohibited by this article;
Accounts are not allowed to be used for profit-making operations;
Do not infringe the intellectual property rights or legal rights of others;
Do not maliciously slander the goodwill of the platform;
and other behaviors that violate laws and regulations, public order and good morals, or that UKey deems inappropriate.
If you violate the above provisions, UKey may independently judge and take measures such as suspending or closing the account without assuming any responsibility.
5.7 Users should continue to pay attention to and abide by the rules announced or modified by the platform from time to time.
5.8 The user agrees that if a third party claims (including attorney fees) due to violation of this agreement/rules/incorporated documents, or use of the service that is illegal or infringes upon the rights of a third party, the user shall fully compensate UKey and its affiliates, partners, directors, employees, etc. and hold them harmless.
5.9 If a user violates this agreement, rules or laws and regulations, and harms the rights and interests of third parties, UKey may take warnings, suspend services, cancel orders, ban transactions, close accounts, permanently ban registration, etc. depending on the circumstances; if a loss is caused, compensation can be claimed in accordance with the law; if a crime is suspected, the user can report and assist in the investigation.
Article 6 Service Fees
6.1 If the platform charges service fees, the standards shall be subject to the announcement on the page; the platform reserves the right to unilaterally formulate and adjust fees.
6.2 Based on the public agreement of the blockchain, the circulation of digital assets may generate "mining fees/network fees". The amount is determined by the user and collected by the chain. UKey is not the recipient and does not make any profit.
6.3 The user shall be responsible for any taxes and other expenses arising from the use of the service.
Article 7 User Information Authorization and Protection
7.1 User information
Users independently choose the public data (including wallet address, transaction data, etc.) that is synchronized to the UKey server;
Server values automatically recorded when accessing the platform (including IP, web page records, etc.);
Data related to user transactions on the platform (including transaction records);
User-related information obtained through the blockchain network.
7.2 The user agrees that the platform uses Cookies and other devices on some web pages to automatically collect information based on behavior; the platform has the right to analyze the user database and use it for commercial purposes without revealing privacy.
7.3 The user authorizes UKey to use the information provided by the user, the information generated by using the service (including information before signing the agreement) and the information collected in accordance with this article to provide services, recommend products, market research and data analysis, and can entrust necessary partners to handle it.
7.4 UKey will protect user information in accordance with the law.
Article 8 Ownership and Intellectual Property Rights
8.1 The intellectual property rights of the platform content (pictures, files, information, materials, structure, layout, design, text graphics, software, source code, trademarks, etc.) are owned by UKey or the rights holder and are protected in accordance with the law, whether formed before or after the agreement.
8.2 Except as mandated by law, no subject may illegally use, copy, reproduce, quote, link, crawl or publicly publish platform programs or content in any way without permission, otherwise UKey may be held legally responsible.
8.3 Without express written consent, users are not allowed to download (except page caching) or modify the platform or any part thereof; are not allowed to resell or commercially exploit; are not allowed to collect and use catalogs, descriptions and prices; are not allowed to make derivative uses; are not allowed to download/copy account information or use crawler tools for commercial gain; are not allowed to systematically crawl content to create collections, databases, etc. without permission; and are not allowed to use content and materials for purposes not permitted by this Agreement.
8.4 Use of the Services does not constitute a transfer of any intellectual property rights.
Article 9 Risk Warning
9.1 UKey does not make any express or implied guarantees regarding the service, including but not limited to applicability, error-free, continuity, accuracy, reliability, and suitability for specific purposes; nor does UKey make any commitment to the validity, accuracy, reliability, quality, stability, completeness, and timeliness of technology and information.
9.2 It is up to the user to decide whether to use the service and bear the risks and losses at his or her own risk.
9.3 UKey only provides software and hardware tools for processing blockchain data. It does not provide any guarantee (whether express, tacit or statutory) to users or transactions, nor does it control the information released by users/service providers; it does not assume the obligation to prove or identify; it cannot guarantee that the content of the platform is true, sufficient, reliable, accurate, complete and effective, and it does not assume any legal liability arising therefrom.
9.4 The market quotation function only captures search results for exchange rates of some exchanges and does not represent the latest or best quotes.
9.5 When there is an abnormal prompt in the transfer, you should check it through the official or query tool to avoid repeated transfers; otherwise, you will be responsible for the losses and expenses.
9.6 When creating/importing a wallet, security passwords, private keys, mnemonics, etc. should be properly backed up; avoid electronic backup through screenshots, emails, notepads, text messages, WeChat, QQ, etc.; it is recommended to copy mnemonics and Keystore on paper.
9.7 The above does not exhaust all risks.
Article 10 Termination of Agreement
10.1 Users can apply to cancel their accounts at any time; this agreement will be terminated from the date the platform approves the cancellation.
10.2 If the user dies or is declared dead, the rights and obligations shall be inherited by the heirs.
10.3 UKey may terminate all services in accordance with the agreement; the agreement shall be terminated on the date of termination of all services, and cancellation shall be carried out according to the announcement.
10.4 After the agreement is terminated, users shall not require UKey to continue to provide services or perform other obligations, including but not limited to retaining or disclosing original account information, forwarding unread messages, etc.
10.5 Termination shall not affect the observant party’s liability for breach of contract before termination, nor shall it affect subsequent contractual obligations that should continue to be performed in accordance with the contract.
Article 11 Applicable law
11.1 The content, formation, performance, interpretation and dispute resolution of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China.
Article 12 Others
12.1 UKey respects the legitimate rights of users; this agreement and platform rules are designed to better serve users.
12.2 If a provision is found to be unenforceable, invalid or illegal, the validity of the remaining provisions will not be affected.
12.3 If a clause is invalid or unenforceable in whole or in part, it shall be deemed severable from this agreement and replaced with a new valid clause that is as close as possible to the intention of the parties and can achieve the economic purpose; the remaining clauses shall continue to be fully valid.
12.4 Unless otherwise agreed, nothing in this agreement shall make UKey the user’s agent, trustee or other representative.
12.5 A waiver of a breach of contract or a waiver of a term shall be effective only with the written signature of the non-breaching party or the party not seeking a waiver; a single waiver shall not be deemed a waiver of future breach of contract; failure to exercise a right or remedy shall not be deemed a waiver.
