This agreement is entered into by you (hereinafter referred to as the "User") and UKEY LIMITED (Hong Kong), the operating entity of the UKey official platform (including web pages, mobile terminals and applications, etc.) (hereinafter referred to as "UKey" or the "Platform") regarding UKey cold wallet and related services. Legally binding on both the user and UKey.
UKey Users are reminded to carefully read and fully understand the entire content of this agreement, especially the terms that reduce or limit the platform's liability and limit or exclude user rights.
If the user does not agree with the contents of this Agreement, or does not acknowledge that the Platform has the right to unilaterally modify this Agreement at any time, he should immediately stop using and accessing the Platform.
In addition to this agreement, users using cold wallet services should also abide by other agreements and rules published by the platform, including but not limited to license agreements, privacy policies, after-sales policies, and legal statements. As well as various agreements, rules, announcements, statements, instructions or guidelines that the platform has issued or may issue in the future and their versions as revised from time to time (hereinafter collectively referred to as "Rules").
Article 1 Explanation
1.1 "This Agreement": refers to this "User Service Agreement" and its revised versions from time to time.
1.2 "Cold wallet": refers to a hardware product that uses layered deterministic (HD) technology to achieve secure management of digital assets.
1.3 "Hot wallet": refers to digital asset management tools developed based on blockchain, as well as auxiliary tools developed to facilitate users to use blockchain.
1.4 "Public key": generated by one-way derivation of the private key based on cryptographic principles, used to generate a blockchain wallet address; the wallet address is a public payment address.
1.5 "Private Key": It consists of a 256-bit random number and is the core element for users to hold and use digital assets.
1.6 "Mnemonic words": 12 (or 15/18/21/24) words in sequence generated by a random algorithm following blockchain industry standards such as BIP39, It is a convenient representation for backing up private keys.
1.7 "Payment Password": The password that the user should set when creating a wallet, which is used together with the seed password to generate the currency private key; this password cannot be changed.
1.8 "Security Password": The password that the user should set when creating their wallet to protect their private keys; this password will not be stored on the user's mobile device or on the UKey platform servers.
Article 2 Platform Services
2.1 Users can choose different language versions of the platform.
2.2 This platform is a digital asset security service platform provided by UKey to users; this service mainly includes digital asset security services, user services and other auxiliary content, which is subject to the actual provision by the platform.
2.3 Users should equip themselves with the network equipment required to access or use this service, and bear their own network access fees, traffic fees and other related fees.
2.4 During the performance of this Agreement, UKey may modify this Agreement based on actual circumstances.
2.5 The user agrees that UKey's notices, as well as other agreements, rules, announcements or service-related information, It can be delivered by electronic means such as announcements, site letters, emails, text messages, or by physical means such as mail. If sent by electronic means, it will be deemed delivered on the day of sending; if sent by mail, Delivery will be deemed on the third calendar day after being sent to the address submitted by the user to the platform.
2.6 To reduce misuse and security risks, users without basic knowledge of blockchain should avoid using this platform; UKey reserves the right to refuse to provide some or all functions to such users.
2.7 In order to implement the requirements of the "Notice on Further Preventing and Dealing with Speculation Risks of Virtual Currency Transactions" (hereinafter referred to as the "Notice") of the ten departments, UKey has stopped providing some features to users in China. This includes financial applications provided by third-party platforms (as defined below) that may be transaction-related and may not comply with the Notice and other regulatory requirements; only the basic functions of the wallet are retained.
2.8 Users understand that under the following circumstances, UKey may modify, suspend or terminate platform services, and the effective date shall be subject to the announcement. User agrees, UKey shall not be liable for breach of contract, compensation or other liability:
Operation interruptions due to technical reasons such as equipment and blockchain system maintenance, upgrades, failures, communication interruptions, etc.;
The Service is unable to be provided due to force majeure or other reasons, or UKey reasonably believes that there is a risk in continuing to provide the Service;
There are major adverse changes in applicable laws or policies, or there are major adverse changes in the laws, regulations, rules, orders and other requirements of the country/region where the user is located;
To safeguard the legitimate rights and interests of the platform or users;
Other circumstances beyond the control of the platform or reasonably unforeseen.
Article 3 Service Content
3.1 Wallet creation
When a user creates a wallet for the first time, the platform will pop up this agreement; by agreeing to this agreement and creating a wallet, the user accepts the entire content of this agreement and is bound by it.
Users promise to only create wallets and use services for legitimate purposes, and not to use the platform or services to engage in illegal activities; ensure that the digital assets in the associated blockchain account come from legal sources; And comply with all rules published or updated by the platform from time to time (including announcements, process instructions, risk warnings, etc.).
3.2 Platform user services
(1) The platform provides users with the following services:
a. Digital asset security services;
b. Digital asset market information; provide some transaction information on the premise of complying with the laws of the user's location;
c. User services;
d. Technical and management services to ensure the operation of the platform;
e. Other services announced by the platform.
The platform follows the decentralized nature of the blockchain, is committed to ensuring asset security, and provides decentralized services that are different from financial institutions such as banks.
Users should properly keep their wallet equipment and back up wallet information, security passwords, mnemonic phrases, and private keys.
3.3 Hardware products such as cold wallets
The product information displayed on the platform may change at any time, and UKey may adjust text, images, etc. in real time.
Product prices are clearly stated, but prices may change at any time. The transaction price is based on the price when the user submits the order and the settlement is confirmed by UKey.
Users should carefully check the product name, price, quantity, model, specification, size, address, phone number, consignee, etc. when placing an order.
Successful order submission only means that the system has generated order data based on the content filled in by the user. This order is an invitation to trade and does not constitute a commitment by UKey.
UKey or its authorized seller will deliver to the specified address; the time shown on the page is a reference time (estimated based on inventory, processing and delivery processes), UKey or its licensors are not responsible for any differences between actual delivery times and reference times.
Article 4 Limitation of Platform Liability
4.1 UKey makes no guarantees about the following:
Services must meet user needs;
The Service must be uninterrupted, timely or error-free;
The products/services/information obtained through the Services must meet expectations;
Platform information, programs, texts, data, etc. must be completely safe and free from interference by malicious programs such as viruses, Trojans, etc.;
Although the calculation of trading results is published, it cannot be guaranteed to be error-free or uninterrupted.
4.2 Users acknowledge and agree that under no circumstances shall UKey be responsible for the following matters:
loss of revenue, loss of trading profits or loss of contractual benefits;
Losses caused by service interruption, suspension or termination;
Original transaction cost savings and expected profit loss;
Losses caused by information transmission problems;
Losses caused by loss or corruption of data;
Indirect, special and incidental losses caused by breach of contract (whether foreseeable or not, whether or not advance notice is given);
Asset losses caused by equipment loss, information backup failure, security password/private key/mnemonic phrase forgetting, etc.;
Asset losses caused by self-disclosure of information, lending/transferring/authorizing others to use devices or wallets, downloading applications through unofficial channels, or using them in an unsafe manner;
Asset losses caused by incorrect operations (including address entry errors, node selection problems, etc.);
Asset losses due to lack of blockchain knowledge and improper operations;
Due to system delays, blockchain instability and other reasons, there may be deviations in the display of records on the chain.
4.3 The user knows and agrees that UKey has the right to refuse to compensate for all or part of the losses under any of the following circumstances:
There are reasonable grounds to believe that the user's behavior is illegal or unethical;
Users mistakenly believe that the loss is caused by the platform;
Losses caused by other non-platform reasons.
4.4 Third-party services are provided by third parties, and the third parties are responsible for the quality and content of their services.
4.5 Due to the standardized nature of the service, it is difficult for UKey to reasonably foresee all losses caused by breach of contract, and UKey will not charge additional fees to users to profit from the service.
4.6 UKey The guarantees and commitments made in this Agreement are the only guarantees and representations it makes when providing services in accordance with this Agreement (hereinafter referred to as the "Agreement Guarantees"). The agreement guarantees only binds the platform itself and does not bind any third party.
4.7 If the system crashes or cannot be used normally, transactions cannot be completed, or information records are lost due to force majeure or other uncontrollable reasons, UKey will make reasonable efforts to assist in the aftermath; users agree to bear their own risks and losses, and UKey does not need to compensate or bear other responsibilities.
Article 5 User Statement and Commitment
5.1 The user declares that he has full capacity for civil rights and civil conduct, is able to independently bear legal responsibilities, and will not use the service for illegal purposes or in illegal ways; Users promise to abide by the laws and regulations of the country or region where they are located, international Internet practices, and relevant network protocols, rules and procedures.
If the user violates the above conditions, UKey may refuse to provide services at any time at its sole discretion and will not assume regulatory or other joint liability due to the user's illegal use.
5.2 The user understands that third-party services should be evaluated and selected by the user; UKey is not responsible for the user's choice and use results, and the relevant losses shall be borne by the user.
5.3 Users are responsible for all activities under their registered accounts (including information disclosure, posting information, clicking to agree to the agreement, uploading files, renewing the agreement, accepting third-party agreements, etc.).
5.4 The user agrees that UKey may place commercial advertisements or other commercial information (including page advertisements) in various ways during the provision of services, and agrees to receive promotions and other information via email.
5.5 Users agree that if there is a dispute with a service provider or other third party due to third-party services, the platform has no obligation to provide relevant information through channels other than judicial or administrative procedures.
5.6 Users must abide by laws and regulations when using services, and promise to:
No speech may be made that incites rebellion, undermines the implementation of the constitution and laws, subverts political power, splits the country, incites ethnic hatred or ethnic discrimination;
Cross-border data transmission must comply with Chinese and relevant national regulations;
Do not use the platform to engage in illegal activities such as money laundering, stealing business secrets or personal information;
Do not interfere with the operation of the platform or invade the platform and national computer information systems;
Do not spread illegal, criminal, harassing, insulting, threatening, obscene or other harmful information;
Do not publish information or remarks that harm public interests and national security;
Not incite others to commit acts prohibited by this section;
The account may not be used for profit-making operations;
Do not infringe the intellectual property or legal rights of others;
Do not maliciously slander the goodwill of the platform;
No other behavior is allowed that violates laws, regulations, public order and good morals, or that UKey deems inappropriate.
If a user violates the above provisions, UKey can make independent judgments and take measures such as suspending or closing the user's account without assuming any responsibility.
5.7 Users should continue to pay attention to and abide by the rules announced or modified by the platform from time to time.
5.8 The user agrees that if third-party claims (including attorneys' fees) arise due to violation of this agreement/rules/merged documents, or use of services that are illegal or infringe third-party rights, User shall fully indemnify and hold harmless UKey and its affiliates, partners, directors, employees, etc.
5.9 If the user violates this agreement, rules or laws and regulations and damages the rights of third parties, UKey may take measures such as warnings, suspension of services, cancellation of orders, prohibition of transactions, closure of accounts or permanent registration ban based on specific circumstances; if losses are caused, UKey can demand compensation in accordance with the law; if a crime is suspected, UKey can report it to the relevant authorities and assist in the investigation.
Article 6 Service Fees
6.1 If the platform charges service fees, the standards shall be subject to the announcement on the page; the platform reserves the right to unilaterally formulate and adjust fees.
6.2 According to the blockchain public agreement, the circulation of digital assets may incur "mining fees/network fees". The amount of the fee is determined by the user and charged by the corresponding blockchain network; UKey is not a fee recipient and does not make any profit from it.
6.3 Users shall be responsible for any taxes and other fees incurred by using this service.
Article 7 User Information Authorization and Protection
7.1 User information
Users choose to synchronize public data (including wallet address, transaction data, etc.) to the UKey server;
Information automatically recorded by the server when users access the platform (including IP address, web page access records, etc.);
Data related to users' transactions on the platform (including transaction records);
User-related information obtained through the blockchain network.
7.2 The user agrees that the platform can use technologies such as cookies on some web pages to automatically collect information based on user behavior; The platform has the right to analyze the user database and use the analysis results for commercial purposes without revealing user privacy.
7.3 User authorization UKey uses the information provided by the user, the information generated when the user uses the service (including information generated before signing this agreement), and the information collected in accordance with this article, Used to provide services, recommend products, conduct market research and data analysis, and entrust necessary partners to process relevant information.
7.4 UKey will protect user information in accordance with the law.
Article 8 Ownership and Intellectual Property Rights
8.1 Intellectual property rights of platform content (including pictures, files, information, materials, structure, layout design, text, graphics, software, source code and trademarks, etc.), Whether formed before or after the signing of this agreement, it is owned by UKey or the corresponding rights holder and protected by law.
8.2 Unless otherwise provided by law, no subject may illegally use, copy, reproduce, quote, link, crawl or publicly publish platform programs or content in any manner without permission, otherwise the relevant subject shall bear legal liability in accordance with the law.
8.3 Users may not download (other than page caching) or modify the Platform or any part thereof without express written consent; may not resell the Platform or use it for commercial exploitation; You are not allowed to collect or use the platform's catalogs, descriptions and prices; you are not allowed to use the platform for derivative purposes; you are not allowed to download or copy account information, and you are not allowed to use crawler tools to obtain commercial benefits; You may not scrape platform content without authorization to create data collections, databases, etc.; you may not use platform content and materials for purposes not authorized by this Agreement.
8.4 Use of the Services does not constitute the transfer of any intellectual property rights.
Article 9 Risk Warning
9.1 UKey makes no warranties, express or implied, with respect to the Service, including but not limited to suitability, error-free, continuity, accuracy, reliability and fitness for a particular purpose; UKey also makes no commitments regarding the validity, accuracy, reliability, quality, stability, completeness and timeliness of the technology and information.
9.2 Users decide whether to use this service and bear their own risks and losses.
9.3 UKey only provides software and hardware tools for processing blockchain data, and does not make any express, implied or statutory guarantees for users or transactions. It also does not control the information posted by users or service providers; UKey does not undertake any verification or identification obligations and cannot guarantee that the platform content is true, sufficient, reliable, accurate, complete or valid, Nor does it assume any legal liability arising therefrom.
9.4 The market quotation function only obtains search results for some exchange rates and does not represent the latest or best quotations.
9.5 When there is an abnormal prompt in a transfer, the user should verify it through official channels or query tools to avoid repeated transfers; otherwise, the resulting losses and expenses will be borne by the user.
9.6 When creating or importing a wallet, security passwords, private keys, mnemonic phrases and other information should be properly backed up; avoid backing up through screenshots, emails, notepads, text messages, WeChat, QQ and other electronic means; It is recommended to copy the mnemonic phrase and Keystore (keystore) on paper and keep it in a safe place.
9.7 The above does not exhaust all risks.
Article 10 Termination of Agreement
10.1 Users can apply to cancel their accounts at any time; this agreement will terminate on the date the platform agrees to terminate.
10.2 If the user dies or is declared dead, his rights and obligations will be inherited by his heirs.
10.3 UKey may terminate all services in accordance with this agreement; this agreement shall be terminated from the date of termination of all services, and account cancellation shall be carried out in accordance with relevant announcements.
10.4 After the agreement is terminated, users shall not require UKey to continue to provide services or perform other obligations, including but not limited to retaining or disclosing original account information, forwarding unread messages, etc.
10.5 The termination of this Agreement will not affect the breach of contract liability of the defaulting party before the termination, nor will it affect the obligations that should continue to be performed after the termination in accordance with this Agreement.
Article 11 Applicable Law
11.1 The content, formation, performance, interpretation and dispute resolution of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China.
Article 12 Others
12.1 UKey Respect the legal rights of users; this agreement and platform rules are designed to better serve users.
12.2 If a provision is found to be unenforceable, invalid or illegal, the validity of the remaining provisions shall not be affected.
12.3 If a provision is invalid or unenforceable in whole or in part, that provision shall be deemed to be severed from this Agreement, and be replaced by new valid terms that are as close as possible to the intentions of the parties and capable of achieving economic purposes; the remaining terms shall continue to be in full force and effect.
12.4 Unless otherwise agreed, nothing in this Agreement shall make UKey the user's agent, trustee or other representative.
12.5 Any waiver of a breach of contract or a term of the agreement shall be effective only in writing signed by the non-breaching party or the party entitled to assert the term; A waiver of a single breach shall not be deemed a waiver of future breaches; the failure to exercise any right or remedy shall not be deemed a waiver of that right or remedy.
