This agreement is between you (hereinafter referred to as the "user") and the UKey official platform (including web pages, mobile phones and applications, etc.) UKEY LIMITED (Hong Kong) (hereinafter referred to as "UKey"), the operating entity (hereinafter referred to as the "Platform"), signed a contract regarding UKey cold wallet and related services. It is legally binding on both the user and UKey.
UKey reminds users to carefully read and fully understand the entire content of this agreement, especially the terms that reduce or limit the platform's liability and limit or exclude user rights.
If the user does not agree with the contents of this Agreement, or does not acknowledge that the Platform has the right to unilaterally modify this Agreement at any time, he should immediately stop using and accessing the Platform.
In addition to this agreement, users using cold wallet services should also comply with other agreements and rules published by the platform. Including but not limited to license agreements, privacy policies, after-sales policies, legal statements, and various agreements, rules, announcements, statements, instructions or guidelines that the platform has issued or may issue in the future (including its revisions from time to time, (hereinafter collectively referred to as the "Rules").
The first explanation
1.1 "This Agreement": refers to this "User Service Agreement" and its revised versions from time to time.
1.2 "Cold wallet": refers to hardware products that use hierarchical deterministic (HD) technology to achieve secure management of digital assets.
1.3 "Hot wallet": refers to digital asset management tools developed based on blockchain, as well as auxiliary tools developed to facilitate users to use blockchain.
1.4 "Public key": The private key is generated based on one-way derivation of cryptographic principles and is used to generate a blockchain wallet address; the wallet address is a public payment address.
1.5 "Private Key": It consists of 256 random characters and is the core element for users to hold and use digital assets.
1.6 "Mnemonic words": Following industry standards such as blockchain BIP39, the 12 (or 15/18/21/24) ordered words generated by a random algorithm are an easy-to-backup representation of the private key.
1.7 "Payment Password": The password that the user should set when creating a wallet, which is used together with the seed password to generate the currency private key; this password cannot be changed.
1.8 "Security Password": The password that the user should set when creating a wallet to protect the private key; it is not stored on the user's mobile device or the UKey platform server.
Article 2 Platform Services
2.1 Users can choose different language versions of the platform.
2.2 This platform is a digital asset security service platform provided by UKey to users; this service mainly includes digital asset security services, user services and other auxiliary content, which is subject to the actual provision of the platform.
2.3 Users should bring their own network equipment to access or use this service, and bear their own network access fees, traffic fees and other related fees.
2.4 During the performance of this agreement, UKey may modify this agreement according to the circumstances.
2. 5 Users agree that UKey's notices and other agreements, rules, notices or service-related notices can be delivered through electronic means such as announcements, site letters, emails, text messages, or physical means such as mail; It will be deemed delivered on the day it is sent (if mailed, it will be deemed delivered on the third natural day after the user submits the address on the platform).
2.6 In order to reduce misoperation and security risks, users without basic knowledge of blockchain should avoid using this platform; UKey reserves the right to refuse to provide some or all functions to such users.
2.7 In order to implement the requirements of the "Notice on Further Preventing and Responding to Speculative Risks in Virtual Currency Transactions" (hereinafter referred to as the "Notice") (hereinafter referred to as the "Notice") of ten national ministries and commissions, UKey has terminated some functions for Chinese users, including **Third Party Platforms (as defined below)** financial applications that may be related to transactions and may not comply with the requirements of the Notice and other regulations, Only keep the basic functions of the wallet.
2.8 Users understand that UKey may modify, suspend or terminate platform services under the following circumstances. The effective date shall be subject to the announcement. The user agrees that UKey does not need to bear any liability for breach of contract, compensation or compensation:
Operational interruptions due to technical reasons such as equipment and blockchain system maintenance, upgrades, failures, communication interruptions, etc.;
The service cannot be provided due to force majeure or other reasons, or UKey reasonably believes that there is a risk in continuing to provide the service;
There are major adverse changes in applicable laws or policies, or there are major adverse changes in the laws, regulations, rules, orders and other requirements of the user's country/region;
To safeguard the legitimate rights and interests of the platform or users;
Other circumstances beyond the control of the platform or reasonably unforeseen.
Article 3 Service Content
3.1 Wallet creation
This agreement will pop up when the user creates a wallet for the first time; by agreeing to create this agreement, the user accepts the entire content of this agreement and is bound by it.
Users promise to create wallets and use services for legitimate purposes and not to use the platform or services as a medium to carry out illegal intentions; ensure that the digital assets in the associated blockchain account come from legitimate sources; And comply with all rules published/updated by the platform from time to time (including announcements, process instructions, risk warnings, etc.).
3.2 Platform user services
(1) The platform provides users with:
a Digital asset security services;
b Digital asset market information; provide partial transaction information on the premise of complying with the laws of the user's location;
c User services;
d. Technical and management services to ensure the operation of the platform;
e Other services published on the platform.
The platform adheres to the decentralized nature of blockchain, ensures asset security, and provides decentralized services that are different from bank financial institutions.
Users should properly keep their wallet equipment and back up wallet information, security passwords, mnemonic phrases, and private keys.
3.3 Hardware products such as cold wallets
The product information displayed on the platform may change at any time, and UKey may adjust text, pictures, etc. in real time.
Product prices are clearly stated, but prices may change at any time. The transaction price is based on the price when the user submits the order and the settlement is confirmed by UKey.
When placing an order, users should carefully check the product name, price, quantity, model, specification, size, address, telephone number, consignee, etc.
The successful submission of the order is only the data generated by the system based on the filled-in content. This is an invitation/request for a transaction offer and does not constitute a commitment by UKey.
UKey or its authorized seller will deliver to the designated address; the time displayed on the page is a reference time (estimated based on inventory, processing and delivery processes), UKey or its licensors are not responsible for any differences between actual delivery times and reference times.
Article 4 Limitation of Platform Liability
4.1 UKey does not make any guarantees about the following matters:
Services must meet user needs;
The Service must be uninterrupted, timely or error-free;
Products/services/information obtained through the Services must meet expectations;
Platform information, programs, texts, data, etc. must be completely safe and free from interference by malicious programs such as viruses, Trojans, etc.;
Although the calculation of trading results is published, it cannot be guaranteed to be error-free or uninterrupted.
4.2 Users know and agree that UKey will not be responsible for the following matters under any circumstances:
Loss of income; loss of trading profits or contractual benefits;
Losses caused by service interruption, suspension or termination;
expected loss of profits that could save on transaction costs;
Losses caused by information transmission problems;
Losses caused by loss or corruption of data;
Indirect, special and incidental losses caused by breach of contract (whether foreseeable or not, whether or not advance notice is given);
Asset losses caused by equipment loss, information backup failure, security password/private key/mnemonic phrase forgetting, etc.;
Asset losses caused by self-disclosure of information, or lending/transferring/authorizing others to use devices or wallets, or downloading applications through unofficial channels or using them in an unsafe manner;
Asset losses due to incorrect operations (including address entry errors, node selection problems, etc.);
Asset losses due to lack of blockchain knowledge and misoperation;
Due to system lag, chain instability and other reasons, the records on the chain display deviations.
4.3 The user knows and agrees that UKey has the right to refuse to compensate for all or part of the losses under any of the following circumstances:
There are reasonable grounds to believe that the user's behavior is illegal or unethical;
Users mistakenly believe that the loss is caused by the platform;
Losses caused by other non-platform reasons.
4.4 Third-party services are provided by third parties, and the third parties are responsible for the quality and content of their services.
4.5 Due to the standardized characteristics of the service, it is difficult for UKey to reasonably foresee all losses caused by breach of contract, and UKey will not charge additional fees to users to profit from the service.
4. 6 UKey's guarantees and commitments in this Agreement are its only guarantees and representations for providing services in accordance with the contract ("Agreement Guarantees"), which are only binding on the platform itself and are not binding on third parties.
4.7 If the system crashes or cannot be used normally, transactions cannot be completed, or information records are lost due to force majeure or other uncontrollable reasons, UKey will make reasonable efforts to assist in the aftermath; Users agree to bear their own risks and losses, and UKey does not need to compensate or bear other responsibilities.
Article 5 User Statement and Commitment
5.1 The user declares that he has full civil rights and capacity, can independently bear legal responsibilities, and will not use services for illegal purposes or in illegal ways; Commit to abide by the laws, regulations and international Internet practices of the country where you are located, and comply with relevant network protocols, rules and procedures.
If the user violates the above conditions, UKey may refuse to provide services at any time at its sole discretion and will not assume supervision or other joint liability due to the user's illegal use.
5.2 The user understands that third-party services need to be evaluated and selected by the user; UKey does not assume any responsibility for the selection and use results, and the relevant losses are borne by the user.
5.3 Users are responsible for all activities under their registered accounts (including information disclosure, posting information, clicking to agree to the agreement, uploading files, renewing the agreement, accepting third-party agreements, etc.).
5.4 The user agrees that UKey can place commercial advertisements or other commercial information (including page advertisements) in a variety of ways during the provision of services, and agrees to receive promotional and other information via email.
5.5 User agrees: If there is a dispute with a service provider or other third party due to third-party services, the platform does not need to provide information through non-judicial/administrative channels.
5.6 Users must abide by laws and regulations when using services, and promise to:
Speech that incites rebellion, undermines the implementation of the constitution and laws, subverts political power, secession, national hatred and discrimination is not allowed;
Cross-border data transfer must comply with Chinese and relevant national regulations;
You may not use the platform to engage in illegal activities such as money laundering, stealing business secrets or personal information;
Do not interfere with the operation of the platform or invade the platform and national computer information systems;
Do not spread illegal, criminal, harassing, insulting, threatening, obscene and other harmful information;
Do not publish information or remarks that harm public interests and national security;
You may not instigate others to commit conduct prohibited by this section;
The account shall not be used for profit-making operations;
Do not infringe the intellectual property or legal rights of others;
Do not maliciously slander the goodwill of the platform;
and other behaviors that violate laws, regulations, public order and good morals, or that UKey deems inappropriate.
If you violate the above provisions, UKey may independently judge and take measures such as suspending or closing your account without assuming any responsibility.
5.7 Users should continue to pay attention to and abide by the rules announced or modified by the platform from time to time.
5.8 The user agrees that if third-party claims (including attorney fees) arise due to violation of this agreement/rules/merged documents, or use of services that are illegal or infringe the rights of third parties, Users shall fully indemnify UKey and its affiliates, partners, directors, employees, etc. and hold them harmless.
5.9 If the user violates this agreement, rules or laws and regulations, and harms the rights and interests of third parties, UKey may take measures such as warnings, suspension of services, cancellation of orders, prohibition of transactions, closure of accounts, and permanent registration ban based on specific circumstances; if losses are caused, compensation may be required in accordance with the law; if suspected of committing a crime, UKey may Users can report and assist with investigations.
Article 6 Service Fees
6.1 If the platform charges service fees, the standards shall be subject to the announcement on the page; the platform reserves the right to unilaterally formulate and adjust fees.
6.2 Based on the public protocol of the blockchain, the circulation of digital assets may generate "mining fees/network fees". The amount is determined by the user and collected by the chain. UKey is not a recipient and does not make any profit.
6.3 Users shall be responsible for any taxes and other fees incurred by using this service.
Article 7 User Information Authorization and Protection
7.1 User information
Users independently choose the public data (including wallet address, transaction data, etc.) synchronized to the UKey server;
Server values automatically recorded when accessing the platform (including IP, web page records, etc.);
Data related to users' transactions on the platform (including transaction records);
User-related information obtained through the blockchain network.
7.2 The user agrees that the platform will use Cookies and other devices on some web pages to automatically collect information based on behavior; the platform has the right to analyze the user database and use it for commercial purposes without revealing privacy.
7.3 The user authorizes UKey to use the information provided by the user, information generated by using the service (including information before signing the agreement), and information collected in accordance with this article to provide services, recommend products, market research and data analysis, And can entrust necessary partners to handle it.
7.4 UKey will protect user information in accordance with the law.
Article 8 Ownership and Intellectual Property Rights
8.1 The intellectual property rights of the platform content (pictures, files, information, materials, structure, layout design, text graphics, software, source code, trademarks, etc.), whether formed before or after the signing of this agreement, All are owned by UKey or the rights holder and protected by law.
8.2 Except as provided by law, no subject may illegally use, copy, reproduce, quote, link, crawl or publicly publish platform programs or content in any way without permission, otherwise UKey may bear legal liability.
8.3 Users may not download (other than page caching) or modify the Platform or any part thereof without express written consent; resale or commercial exploitation is not allowed; collection and use of catalogs, descriptions and prices is not allowed; Derivative uses are not allowed; account information is not allowed to be downloaded/copied or crawler tools are used to obtain commercial interests; the system is not allowed to crawl content to create collections, databases, etc. without permission; The Content and Materials may not be used for purposes not permitted by this Agreement.
8.4 Use of the Services does not constitute the transfer of any intellectual property rights.
Article 9 Risk Warning
9.1 UKey does not make any express or implied warranty for the service, including but not limited to applicability, error-free, continuity, accuracy, reliability, and fitness for a particular purpose; UKey also does not make any commitment to the validity, accuracy, reliability, quality, stability, completeness and timeliness of technology and information.
9.2 It is up to the user to decide whether to use this service and bear the risks and losses at his/her own.
9.3 UKey only provides software and hardware tools for processing blockchain data. does not provide any warranties (whether express, implied or statutory) to users or transactions, nor does it control the information posted by users/service providers; It does not assume any obligation to prove or identify; it cannot guarantee that the content of the platform is true, sufficient, reliable, accurate, complete, and effective, and it does not assume any legal liability arising therefrom.
9.4 The market quotation function only captures the search results of some exchange exchange rates and does not represent the latest or best quotations.
9.5 When there is an abnormal prompt in a transfer, you should check it through the official or query tool to avoid repeated transfers; otherwise, you will bear losses and expenses.
9.6 When creating/importing a wallet, security passwords, private keys, mnemonic phrases, etc. should be properly backed up; avoid electronic backup through screenshots, emails, notepads, text messages, WeChat, QQ, etc.; It is recommended to copy the mnemonic phrase and Keystore on paper.
9.7 The above does not exhaust all risks.
Article 10 Termination of Agreement
10.1 Users can apply to cancel their accounts at any time; this agreement will terminate on the date the platform agrees to terminate it.
10.2 If the user dies or is declared dead, his rights and obligations will be inherited by his heirs.
10.3 UKey can terminate all services in accordance with the agreement; this agreement shall be terminated on the date of termination of all services, and cancellation shall be carried out in accordance with the announcement.
10.4 After the agreement is terminated, users shall not require UKey to continue to provide services or perform other obligations, including but not limited to retaining or disclosing original account information, forwarding unread messages, etc.
10.5 Termination will not affect the default liability of the non-defaulting party before termination, nor will it affect subsequent contractual obligations that should continue to be performed in accordance with the contract.
Article 11 Applicable Law
11.1 The content, formation, performance, interpretation and dispute resolution of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China.
Article 12 Others
12.1 UKey respects the legal rights of users; this agreement and platform rules are designed to better serve users.
12.2 If a provision is found to be unenforceable, invalid or illegal, the validity of the remaining provisions will not be affected.
12.3 If a provision is invalid or unenforceable in whole or in part, that provision shall be deemed to be severed from this Agreement and replaced with a new valid provision that is as close as possible to the intention of the parties and capable of achieving economic purposes; the remaining provisions shall continue to be in full force and effect.
12.4 Unless otherwise agreed, nothing in this agreement shall make UKey the user's agent, trustee or other representative.
12.5 A waiver of a breach or a waiver of a term is effective only in writing signed by the non-breaching party or the party not seeking a waiver; a single waiver shall not be deemed a waiver of future breaches; Failure to exercise a right or remedy shall not be deemed a waiver.
